Terms of Sale

1. Who you're contracting with

Audiout is operated by Alexander Henderson Hamilton, trading as "Audiout" (also known as aa-hh), a sole trader based in Germany.

When you buy or use Audiout, you're contracting with the seller named above. Payment processing, currency conversion, tax, and refunds are handled by our merchant of record, Paddle.com Market Limited ("Paddle") — see Paddle's Buyer Terms for those.

2. Acceptance

By downloading, installing, or continuing to use Audiout or Audiout Remote, you agree to these terms. If you don't agree, don't use the software.

3. What Audiout is

Audiout is a macOS app that sends audio from your Mac to AirPlay speakers and groups of speakers, in sync. Audiout Remote is a free companion iPhone app for controlling an existing Audiout system on the same network.

4. License

We grant you a personal, non-exclusive, non-transferable license to install and use Audiout on Macs you own or control, for as long as your license key remains valid. You may not resell or redistribute a license key, or circumvent license activation.

5. Acceptable use

You agree not to:

• use Audiout for any unlawful purpose;
• use it to defraud us or anyone else;
• infringe our intellectual property or anyone else's;
• probe, scan, or otherwise interfere with our servers — including the license and update infrastructure — beyond normal use.

6. Our intellectual property

Aside from the open-source components described in §9, we own Audiout's software, documentation, and branding. These terms don't transfer any of that to you — only the license in §4.

7. Payment and pricing

Audiout is sold as a one-time purchase — there's no subscription. Pricing, currency conversion, tax (VAT/sales tax), invoicing, and payment methods are handled entirely by Paddle as merchant of record.

9. Open-source components

The AirPlay implementation Audiout is built on is licensed under GPL-2.0; the corresponding source is published at github.com/aa-hh/Audiout. Nothing in these terms limits your rights under that license.

10. No guarantee of uninterrupted service

We don't guarantee that Audiout, the license server, or update delivery will be uninterrupted or error-free. Audiout is provided "as is," without implied warranties, to the extent permitted by law.

11. Suspension and termination

We may suspend or revoke a license key if we reasonably believe it was obtained fraudulently, if you materially breach these terms, or in response to non-payment, a chargeback, or repeated abuse of the license or update servers.

12. Liability

To the extent the law allows, our total liability to you is limited to what you paid for Audiout in the 12 months before the claim. We're not liable for indirect or consequential losses (like lost data or lost profits), except where liability can't legally be excluded — for example, death, personal injury, or fraud.

13. Governing law

These terms are governed by German law, without prejudice to any mandatory consumer-protection rights you have under the law of your own country of residence.
